Conditions of Access

As a person ("person"), you are being granted access to the information contained on THE GROWTH STAGE (“TGS”) platform (the "Platform") in order to review private and confidential information subject to the following conditions and terms of use:

  1. A "person" will be construed as a reference to any individual, firm, company (including a limited liability company), corporation, government, state or agency of a state or any association or partnership (whether or not having separate legal personality);
  2. This Platform is owned by The Growth Stage Limited (“TGS Ltd”), and operated by it and its subsidiary, The Growth Stage, Inc. (“TGS Inc.”);
  3. All of the information contained on this Platform is confidential and subject to the TGS terms and conditions and privacy policy, available from TGS and as updated from time to time;
  4. The information on this Platform has been prepared to assist interested parties in making their own evaluations and no representations or warranties, express or implied, are given by TGS that the information is accurate, all-inclusive or contains all information that may be desirable or required in order to properly evaluate a potential investment. Neither TGS nor any of its directors, employees, consultants, or group companies will be liable in respect of my use or reliance upon any of the information;
  5. You will not attempt to circumvent any of the security features of the site or the Platform. In particular, you will only access the site and the Platform using my authorised professional account and you will not enable or allow others to access the site or Platform using my authorisation; and
  6. You are:
    1. located in the European Economic Area (the "EEA") and fall within the classification of "qualified investors" within the meaning of Regulation (EU) 2017/1129; OR
    2. located in the United Kingdom and fall within the classification of "qualified investors" within the meaning of the UK version of Regulation (EU) 2017/1129 which forms part of UK law by virtue of the European Union (Withdrawal) Act 2018, and are persons (a) who have professional experience in matters relating to investments who fall within the definition of "investment professionals" in Article 19(5) of the UK Financial Services and Markets Act 2000 (Financial Promotion Order) 2005 (the "FPO"); or (b) falling within Article 49(2)(a) to (d) of the FPO; OR
    3. located in the United States and fall within the classification of an "accredited investor", as defined in Rule 501(a) of Regulation D under the US Securities Act of 1933, as amended, and investing through an “institutional account,” as defined in FINRA Rule 4512(c); OR
    4. located in another region of the world where it is otherwise lawful to use the Platform.

Any notice alleging that materials hosted by or distributed through the Platform infringe intellectual property rights must include the following information:

  1. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other right being infringed;
  2. a description of the copyrighted work or other intellectual property that you claim has been infringed;
  3. a description of the material that you claim is infringing and where it is located on the Platform;
  4. your address, telephone number, and email address;
  5. a statement by you that you have a good faith belief that the use of the materials on the Platform of which you are complaining is not authorized by the copyright owner, its agent, or the law; and
  6. a statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

Repeat Infringers. TGS will promptly terminate the accounts of users that are determined by TGS to be repeat infringers.
