PROFESSIONAL ADVISER STANDARD TERMS AND CONDITIONS

The Growth Stage

These terms and conditions (these "Terms") set out the standard terms of agreement between a professional adviser ("PA") and The Growth Stage Limited ("TGS") in respect of the online platform hosted at www.thegrowthstage.com (the "Platform").

  • 1.

    ACKNOWLEDGMENTS
    The PA acknowledges and agrees that:

  • 1.1

    TGS is under no obligation to recommended the services of the PA to any company listed on the Platform (or otherwise) and there is no guarantee that the PA will be instructed by any such company or in respect of any investment carried out pursuant or subsequent to the Platform;

  • 1.2

    TGS accepts no responsibility for the advice provided by the PA to any person featured on the Platform (or otherwise); and

  • 1.3

    TGS will not act as agent on behalf of the PA and nothing in these Terms or any other express contractual arrangements between the PA and TGS will be construed so as to create a partnership or joint venture between the PA and TGS.

  • 2.

    INTELLECTUAL PROPERTY AND BRANDING

  • 2.1

    The PA will provide to TGS, in a format reasonably stipulated by TGS, its logo ("Logo") and the content which the PA wishes to be made available to other users of the Platform ("Content"). TGS will provide the PA with guidance as to the type and volume of content which is appropriate for inclusion on the Platform and may, acting reasonably, refuse to accept any Content which it does not deem appropriate. The PA may make requests to TGS to add, remove or amend Content at any time. TGS will not edit or amend the Content without prior written instructions from the PA unless TGS determines this is strictly necessary to avoid TGS infringing third party rights or incurring liability.

  • 2.2

    The PA grants TGS, for the duration of its listing on the Platform, a worldwide, non-exclusive, non-transferable licence to display the Logo and the Content on the Platform and to sub-license such rights to its appointed developers from time to time as may be required for the efficient operation of the Platform. The PA will retain all intellectual property rights in the Logo and the Content and TGS will not acquire or claim any right, title or interest in the same.

  • 2.3

    The PA will indemnify and keep indemnified TGS from and against all claims, damages, losses, demands, liabilities and costs (including reasonable legal costs) arising out of or in connection with any claim that the Logo or the Content infringes the rights of a third party.

  • 2.4

    The PA will at all times protect the goodwill of TGS and the Platform and will not do anything which, in TGS's reasonable opinion, could have an adverse effect on the brand or reputation of TGS or the Platform or bring them into disrepute.

  • 3.

    REMOVAL FROM PLATFORM

  • 3.1

    Within 10 business days of a written request from the PA, TGS will remove the PA's listing from the Platform.

  • 3.2

    TGS reserves the right to remove the PA's listing from the Platform in the event of a material breach of these Terms.

  • 3.3

    Save where expressly provided, all accrued rights and liabilities (including TGS's right to any outstanding sponsorship fee) will survive the PA's removal from the Platform in accordance with these Terms.

  • 4.

    COMPLIANCE WITH LAWS

  • 4.1

    The PA agrees that TGS will not be restricted from taking any and all steps which it reasonably considers to be necessary to comply with all laws, rules and regulations applicable to TGS, including the disclosure of information and/or delivery of documents relating to the PA and/or any investment (including any confidential information) to any regulator or judicial authority.

  • 4.2

    The PA will comply with all applicable laws, rules and regulations applicable to it in relation to its use of the Platform.

US CUSTOMERS
